Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AncillaryGPS website, applications, APIs, and related services (collectively, the "Service") provided by Group Protection Strategies, LLC, a Maryland Limited Liability Company ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Service Description

The Service is a software-as-a-service platform that enables users (insurance agencies, brokers, producers, advisors and consultants) to build requests for proposals, compare results, manage timelines, and guide installation of ancillary insurance products (e.g., life, accident, disability, critical illness, hospital indemnity, dental, vision, and non-insurance add-ons such as employee assistance plans).

2. Accounts

You must create an account to use core features. You are responsible for maintaining the confidentiality of login credentials and all activity under your account. Notify us immediately of unauthorized use.

3. Subscription and Payment

  • Access is provided on a subscription basis with fees collected monthly at the rates and terms outlined in the services agreement. 

  • Fees are non-refundable except as expressly stated. 

  • We may suspend or terminate access for non-payment. 

  • All fees exclude taxes; you are responsible for applicable taxes.

4. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term solely for your internal business purposes related to ancillary insurance.

5. Your Data

You retain ownership of all data you upload or input ("Your Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, host, copy, transmit, display, and modify Your Data as necessary to provide, maintain, and improve the Service, comply with law, and create anonymized/aggregated analytics. You represent and warrant that you have all rights necessary to provide Your Data to us and that Your Data complies with applicable insurance and privacy laws.

6. Acceptable Use

You agree not to: 

  • Share access to the Service, or any related content (including screenshots, data, reports, checklists, guidance, or analytical tools), with any person or entity outside your organization or beyond your authorized broker/client relationships

  • Scrape, copy, or reverse engineer the Service

  • Use the Service for any illegal purpose or in violation of insurance regulations 

  • Upload viruses, malware, or harmful code 

  • Attempt to gain unauthorized access or interfere with the Service 

  •  Use the Service to store or process nuclear, chemical, biological, or weapons-related data (forbidden use)

7. Intellectual Property

The Service, software, designs, trademarks, and all content (except Your Data) are owned by us or our licensors. No implied licenses are granted.

8. Confidentiality

Each party will protect the other’s confidential information with at least the same degree of care used for its own similar information.

9. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from (i) Your Data, (ii) your violation of these Terms, or (iii) your violation of law or third-party rights.

12. Term and Termination

  • These Terms continue until terminated. 

  • Either party may terminate for material breach (with 30-day cure period, except non-payment). 

  • We may suspend/terminate immediately for fraud, illegal activity, or non-payment. 

  • Upon termination, access ceases and you must pay all outstanding fees.

13. Governing Law

These Terms are governed by the laws of [Your State], without regard to conflict of laws principles. Disputes shall be resolved in [County, State] courts.

14. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance.
